Terms of Service

A simple overview of the rules, responsibilities, and subscription terms that apply when using Proproval.

These Terms of Service are written for an MVP product and are meant to be readable, practical, and easy to update as Proproval evolves.

1. Acceptance of Terms

By using Proproval, users agree to these Terms of Service. If a user does not agree with these terms, they should not use the service.

2. About Proproval

Proproval is software that helps users create catalogs, proposals, client communications, hosted proposal links, and approval workflows.

3. User Accounts

Users are responsible for:

  • Maintaining account security
  • Keeping login credentials confidential
  • Information submitted through their account

4. User Content

Users retain ownership of their catalogs, pricing, uploaded files, proposals, and client information. Users are responsible for ensuring they have the right to upload and use any content they submit through Proproval.

5. Proproval Intellectual Property

Proproval retains ownership of its software, branding, website, designs, features, and source code. These Terms do not transfer ownership of the platform to users.

6. Subscriptions and Billing

Proproval may offer monthly and annual plans. Subscriptions renew automatically until canceled. Billing is handled through Stripe, and customers may manage subscriptions through the billing portal. Fees are non-refundable except where required by law.

7. Acceptable Use

Users may not:

  • Abuse the platform
  • Attempt unauthorized access
  • Interfere with service operation
  • Upload malicious content
  • Violate applicable laws

8. Service Availability

Proproval strives to provide reliable service but does not guarantee uninterrupted availability.

9. Limitation of Liability

Proproval is provided “as is” and, to the maximum extent permitted by law, Proproval shall not be liable for indirect, incidental, special, consequential, or punitive damages.

10. Termination

Proproval may suspend or terminate accounts for violations of these Terms.

11. Governing Law

These Terms are governed by the laws of Ontario, Canada.
